Crescent Cashback Rewards
Program Terms and Conditions

These Crescent Cashback Rewards Program Terms (“Cashback Rewards Terms”) describe the terms and conditions applicable to your participation (“you” or “Member”) in the Crescent Cashback Rewards Program (“Rewards Program”) and are entered into between you and Crescent Financial Technologies, Inc. (“Crescent,” “we,” “us,” or “our”). By participating in the Rewards Program, you agree to be bound by these Cashback Rewards Terms and the Crescent Terms of Service located at https://www.getcrescent.com/terms-conditions (collectively, the “Terms”). Capitalized terms not defined herein have the meanings ascribed to them in the Terms of Service, which are incorporated by reference into these Cashback Rewards Terms.

By participating in the Rewards Program or otherwise accepting these Cashback Rewards Terms, you represent that you have read and understood them and agree to be bound by their provisions as a condition of participation.

1. Program Description

The Rewards Program allows eligible Members to earn cashback rewards (“Cashback”) on Qualifying Purchases, as defined below, made using a Crescent Card or Crescent Account, in accordance with these Cashback Rewards Terms. Crescent may modify, suspend, or terminate the Rewards Program at any time in its sole discretion, subject to applicable law. The Rewards Program is void where prohibited.

2. Eligibility

To be eligible to participate in the Rewards Program, you must (a) have applied for and been approved for a Crescent Card or Crescent Account in accordance with the Terms; (b) maintain your Crescent Account in good standing; and (c) comply with all applicable laws and regulations. If your Crescent Account is not in good standing, or if Crescent determines in its sole discretion that you have violated the Terms or abused or misused the Rewards Program, you may be deemed ineligible to earn or redeem Cashback, and any previously earned Cashback may be forfeited. You represent and warrant that you meet these eligibility requirements and that your participation in the Rewards Program is in compliance with all applicable laws and regulations.

3. Earning Cashback

You may accrue Cashback when you make a Qualifying Purchase using your Crescent Card. For each Qualifying Purchase, you will earn Cashback at the rate specified by Crescent from time to time on its Cashback Rewards Program page, which Crescent may update at its sole discretion. Crescent may, in its discretion, offer promotional or differentiated Cashback rates for certain merchants or transaction types.

“Qualifying Purchases” are purchases of goods or services made using a Crescent Card that Crescent determines, in its sole discretion, to be eligible for Cashback. The following transactions are not Qualifying Purchases: cash withdrawals, purchases of cash equivalents such as prepaid or gift cards, transactions made in a currency other than U.S. dollars, disputed or unauthorized transactions, transactions subject to chargebacks, refunded transactions or items returned for credit, fraudulent or suspicious transactions, and any fees or interest assessed on your Crescent Account. Crescent may determine at any time and in its sole discretion that a particular transaction or category is not a Qualifying Purchase.

Cashback will be credited to your Crescent Account within 30 days following the settlement date of a Qualifying Purchase. If you believe your Cashback balance is incorrect, you must notify Crescent within sixty (60) days of the accrual date; otherwise, you will forfeit the right to dispute your balance, except as prohibited by law.

4. Redemption and Forfeiture

Cashback may only be redeemed by authorized account administrators through the Crescent dashboard. Cashback is not transferable, has no cash value outside of the Cashback Rewards Program, and may not be assigned or sold. Any unredeemed Cashback will expire immediately upon closure of your Crescent Account, whether by you or by Crescent, or if your account is suspended or terminated for any reason. Crescent may, in its discretion, offset or revoke Cashback that was awarded in error or in connection with transactions later deemed ineligible.

5. Taxes

Cashback may constitute taxable income. You are solely responsible for determining any tax treatment of Cashback and for reporting and paying any associated tax liability. Crescent will not report income related to Cashback unless required by applicable law.

6. Changes to the Cashback Rewards Program

To the maximum extent permitted by law, Crescent reserves the right to modify, suspend, or terminate the Cashback Rewards Program at any time, including by: (a) changing the Cashback rate or eligibility criteria; (b) imposing limits or conditions on the amount of Cashback you may earn or redeem; (c) excluding certain transactions, merchants, or categories; or (d) terminating the Cashback Rewards Program entirely. If the Cashback Rewards Program is terminated, you will only retain Cashback accrued prior to termination, and any unredeemed Cashback will expire.

7. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, cashback is provided “as is,” without any warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, Crescent will not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to the Cashback Rewards Program or these Cashback Rewards Terms, even if advised of the possibility of such damages. Crescent’s aggregate liability to you under these Cashback Rewards Terms will not exceed the amount of Cashback actually earned by you under the Cashback Rewards Program.

Some jurisdictions do not allow the limitation or exclusion of certain damages or implied warranties, so the above limitations may not apply to you.

8. Miscellaneous

Any dispute or claim arising out of or relating to these Cashback Rewards Terms shall be resolved in accordance with the Crescent Terms of Service. You acknowledge and agree that participation in the Cashback Rewards Program does not create any employment, agency, or partnership relationship between you and Crescent. You may not assign your rights or obligations under these Cashback Rewards Terms without Crescent’s prior written consent. Crescent may assign its rights and obligations under these Cashback Rewards Terms without restriction. If any provision of these Cashback Rewards Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
